These Official Rules are a binding legal agreement between (1) the Poster (as defined above) and (2) any individual or organization who uses or accesses the Challenge Website or enters or attempts to enter the Challenge (each a “Maker”).

1. ADMINISTRATOR

Administrator: Devpost, Inc., 222 Broadway, 19th Floor, New York, NY 10038

The Administrator is responsible for the administration and operation of the Challenge.

The Administrator will be the official timekeeper of the Challenge.

2. DATES AND TIMING

A. Submission Period: From May 1, 2020 (10:00am Eastern Time) to June 1, 2020 (5:00pm Eastern Time).

B. Judging: From June 3, 2020 (9:00am Eastern Time) and anticipated to be finished by June 10, 2020 (5:00pm Eastern Time), depending on the number of Submissions. Neither the Poster nor the Administrator commit to reviewing Submissions within any particular period of time and the timing of any judging of Submissions will be at their entire discretion.

C. Winner Announced: The Winner will be announced on or around June 12, 2020 (9:00pm Eastern Time), assuming judging has been completed by then, unless there are delays outside of the Poster’s or Administrator’s control.

3. ELIGIBILITY

A. Eligibility criteria

The Challenge is open to:

Individuals who are at least the age of majority where they reside as of the time of entry (“Eligible Individuals”)
Teams of Eligible Individuals (“Teams”)
Organizations (including corporations, not-for-profit corporations and other nonprofit organizations, limited liability companies, partnerships, and other legal entities) that exist and have been organized or incorporated at the time of entry (“Organizations”),

In each case that are not prohibited from participating pursuant to section 3.B below or otherwise disqualified in accordance with these Official Rules (each an “Eligible Participant”).

An Eligible Individual may join more than one Team or Organization and an Eligible Individual who is part of a Team or Organization may also enter the Challenge on an individual basis.

If a Team or Organization is entering the Challenge, they must appoint and authorize one Eligible Individual (the “Representative”) to represent, act and enter a Submission on their behalf. By entering a Submission on the Challenge Website on behalf of a Team or Organization a person represents and warrants that they are the Representative authorized to act on behalf of that Team or Organization.

B. Disqualifying criteria

The Challenge is not open to:

Any individual or organization that is the subject of sanctions administered or enforced by any country or government or otherwise designated on any list of prohibited or restricted parties (including but not limited to the lists maintained by the United Nations Security Council, the U.S. Government, the European Union or its Member States, or other applicable government authority).
Any individual or organization resident or domiciled in a place that is the subject of country-wide or territory-wide sanctions (including Cuba, Sudan, Iran, North Korea, Syria and any other country designated by the United States Treasury's Office of Foreign Assets Control).
Any individual or organization resident or domiciled in Brazil, Quebec or any other place where local law would otherwise prohibit participating or offering or receiving a prize in the Challenge.
Organizations involved with the design, production, paid promotion, execution, judging or distribution of the Challenge, including the Poster and Administrator (together with their affiliates,*** “Promotion Entities”)
Employees, representatives and agents** of Promotion Entities, and all members of their immediate family or household*
Any other individual involved with the design, production, promotion, execution, judging or distribution of the Challenge, and each member of their immediate family or household*
Any parent company, subsidiary, or other affiliate*** of any Promotion Entity or other organization described above
Any other individual or organization whose participation in the Challenge would create, in the sole discretion of the Poster and/or Administrator, a real or perceived conflict of interest or bias

* The members of an individual’s immediate family include the individual’s spouse, children and stepchildren, parents and stepparents, and siblings and stepsiblings. The members of an individual’s household include any other person that shares the same residence as the individual for at least three (3) months out of the year.

** Agents include individuals or organizations acting on behalf of, and at the direction of, another through a contractual or similar relationship.

*** An affiliate is: (a) an organization that is under common control, sharing a common majority or controlling owner, or common management; or (b) an organization that has a substantial ownership in, or is substantially owned by the other organization.

4. SUBMISSION REQUIREMENTS

Makers and their Submissions must fulfil all of the following requirements (“Submission Requirements”).

A. Entry Requirements

Makers must be Eligible Participants at all times during the Challenge. Makers must do the following to participate in the Challenge:

Register for the challenge on the challenge Website by clicking the “Register for this Challenge” button. To complete registration, sign up to create a Devpost account, or log in with an existing Devpost account. There is no charge for creating a Devpost account. Registration will enable Makers to receive important updates and access the “Enter a Submission” page.
Complete and enter all of the required fields on the “Enter a Submission” page of the Challenge Website and provide all required files and information before the end of the Submission Period, and follow the requirements below.
Apply blockchain technology to address the problems and/or expected societal changes related to the COVID-19 pandemic.
Provide a link to their GitHub repository or another code repository hosting the Application’s code, and any other deployment files and instructions needed on the submission form entered on Devpost. (The code repository may be public or private. If the repository is private, share access with testing@devpost.com)
Provide a text description, image(s) and a video of the Application that comply with the requirements set out below.
Take any other actions and fulfil any other requirements that may be specified on the Challenge Website or notified to Makers.

A Maker’s “Submission” means, collectively, the Application, video, entry information and any other material or information submitted by the Maker in connection with participating in the Challenge.

B. Language Requirements

All Submission materials must be in English or, if not in English, the Maker must provide an English translation of the demonstration video, text description, and testing instructions as well as all other materials submitted.

C. Application Requirements

(i) What to Create: To qualify, Makers must use the EOSIO software published by the Poster (the latest version of which is available at https://github.com/eosio/) and must implement one or more EOSIO smart contracts to apply blockchain technology to address the problems and/or expected societal changes related to the COVID-19 pandemic. (an “Application”).

A full history of changes to Applications should be reflected in a Maker’s GitHub repository in order to enable the Poster and/or Judges to confirm fulfilment of the Submission Requirements.

(ii) Functionality: The Application must be capable of being successfully installed and running consistently on the platform for which it is intended, and must function as depicted in the video and expressed in the text description.

(iii) New & Existing: Applications must be either newly created by the Maker or, if the Application existed prior to the Submission Period, must have been materially updated after the start of the Submission Period. Open source software may be used subject to Section 4.C (viii) below.

(iv) Testing: The Maker must make the Application available free of charge and without any restriction, for testing, evaluation and use by the Poster, Administrator and Judges during the Challenge and until judging ends (and, if necessary, afterwards for purposes reasonably connected with administering the Challenge, including verification of entries and resolution of disputes). The Maker must provide a way to access their Application for judging and testing, including a link to their GitHub repository or another code repository hosting the Application’s code, and any other deployment files and instructions needed. (The code repository may be public or private. If the repository is private, share access with testing@devpost.com)

(vi) Multiple Submissions: A Maker may submit more than one Submission, but each Submission must be unique and substantially different from each of the Maker’s other Submissions, as determined by the Poster and/or the Administrator, and separately entered into the Challenge.

(vii) SDKs, APIs, & Data: Applications may integrate SDKs, APIs and data, provided the Maker is authorized to use them.

(viii) Intellectual Property: The Maker’s Submission must: (a) be the Maker’s original work product; (b) be solely owned by the Maker with no other person or entity having any right or interest in it; and (c) not violate the intellectual property rights or other rights including but not limited to copyright, trademark, patent, contract, and/or privacy rights, of any other person or entity. A Maker may contract with a third party for technical assistance to create the Submission provided the Submission components are solely the Maker’s work product and the result of the Maker’s ideas and creativity, and the Maker owns all rights to them. A Maker may submit a Submission that includes the use of open source software or hardware, provided the Maker complies with applicable open source licenses and, as part of the Submission, creates software that enhances and builds upon the features and functionality included in the underlying open source product. By entering the Challenge each Maker represents, warrants, and agrees that the Maker’s Submission meets these requirements.

(ix) Financial or Preferential Support: An Application must not have been developed, or derived from an Application developed, with financial or preferential support from the Poster or Administrator. Such Applications include, but are not limited to, those that received funding or investment for their development, were developed under contract, or received a commercial license, from the Poster or Administrator any time prior to the end of the Submission Period. The Poster, at their sole discretion, may disqualify an Application, if awarding a Prize to the Application would create a real or perceived conflict of interest or bias.

(x) Export Control Laws: The Submission and its Maker shall each comply with all applicable import, re-import, sanctions, anti-boycott, export, and re-export control laws and regulations. By entering the Challenge each Maker represents, warrants and agrees that this requirement is met and will continue to be met for the duration of the Challenge.

D. Text Description, Image, and Video Requirements

(i) Text Description: The text description must explain the features and functionality of the Application.

(ii) Images: The image(s) must be photographs or screenshots of the working Application.

(iii) Video: The required demo video portion of the Submission must:

a. be less than three (3) minutes long;

b. include footage that clearly explains the Application’s features and functionality through a comprehensive demo of the software (explain how the software works and how an EOSIO smart contract is being implemented);

c. be uploaded to YouTube, Vimeo, Facebook Video or Youku, and a link to the video must be provided on the submission form on the Challenge Website; and

d. not include third party trademarks, or copyrighted music or other material unless the Maker has permission to use such material.

E. Submission Modifications

i. Draft Submissions: Prior to the end of the Submission Period, Makers may save draft versions of their Submission on Devpost to their portfolio before submitting the Submission materials to the Challenge for evaluation. Once the Submission Period has ended, Makers may not make any changes or alterations to the Submission, but may continue to update the project in their Devpost portfolio.

ii. Modifications after the Submission Period. The Poster may permit or require a Maker to modify part of their Submission after the Submission Period for the purpose of acquiring additional consent forms, adding a Challenge hashtag to the demonstration video, or removing material that potentially infringes a third party mark or right, discloses personally identifiable information, or is otherwise deemed inappropriate by the Poster and/or Administrator. The modified Submission must remain substantively the same as the original Submission with the only modification being what the Poster permits or requires. The Administrator may add the Challenge hashtag to the demonstration video on behalf of the Maker.

An “Eligible Submission” is one where all Submission Requirements are satisfactorily fulfilled. Where that is not the case, the Submission will be disqualified.

5. SUBMISSION RIGHTS

A. Maker Rights: Subject to the licenses described below, any applicable intellectual property rights to a Submission will remain with the Maker.

B. Poster Rights:By entering the challenge, the Maker grants to the Poster, Administrator, and any third parties acting on the Poster’s behalf, a royalty-free, non-exclusive, worldwide perpetual license to display publicly and use for promotional purposes the Submission, for a period ending two years after the announcement of the Winner. This license includes, but is not limited to, posting or linking to the Submission on Poster’s, Administrator’s, and partners’ websites and applications, including the Challenge Website, and display and promotion of the Submission in any other media, worldwide.

C. Submission Display:Any of the Submission components may be displayed by the Poster, the Administrator or any third parties acting on the Poster’s behalf to the public, including the following: name, description, images, video URL, website URL, team members, the Submission category and platform, and submitter type. All Submission materials may be viewed by the Poster, Administrator, and Judges for screening and evaluation and Challenge administration.

D. Warranty: Makers represent and warrant that the Poster, Administrator, and Challenge partners are free to use Makers’ Submission in the manner described above, as provided or as modified by the Administrator, without obtaining permission or license from any third party and without any compensation to Makers.

E. Public information: Any Submissions or ideas disclosed during the Challenge are not subject to any type of non-disclosure agreement, confidentiality agreement or similar arrangement and may be readily accessible to the general public. Makers acknowledge and agree that the Poster develops software, technologies and businesses, including ones comprising or relating to blockchain technologies and applications, (collectively, “Poster Products”) and Makers shall not have and expressly waive any claims to any rights or interest in any Poster Products, regardless of whether they are similar to Submissions or ideas disclosed during the Challenge.

6. JUDGING

A. Judges: Eligible Submissions will be evaluated by a panel of judges selected by the Poster (the “Judges”). Judges may be employees of the Poster or third parties, may or may not be listed individually on the Challenge Website, and may change before or during judging. Judging may take place in one or more rounds with one or more panels of Judges, at the discretion of the Poster. There is no public voting in this Challenge.

B. Criteria: The Judges will score Submissions using the following criteria (the “Judging Criteria”):

(i) Quality of the idea (which includes creativity and originality of the idea).

(ii) Implementation of the idea (which includes how well the idea was executed by the Maker in the Application).

(iii) Potential positive impact (which includes the extent to which the solution is sustainable and impactful by addressing real challenges arisen from Covid-19 or one that builds a more resilient world against future global crises).

(iv) Utilization of blockchain technology (which includes how relevant blockchain was to the solution and how it was implemented in the Application).

A “Potential Winner” is the Maker who, according to the Judging Criteria and process set out in this Section 6, submitted the highest-scoring Eligible Submission.

C. Submission Review: Judges are not required to test the Application and may choose to judge based solely on the text description, images and video provided in the Submission.

D. Tie Breaking: If two or more Eligible Submissions are tied by score, the tied Eligible Submission with the highest score in the first criterion listed above (Quality of the idea) will be considered the higher scoring Eligible Submission. In the event any ties remain, this process will be repeated, as needed, by comparing the tied Eligible Submissions’ scores on the next criterion. If two or more Eligible Submissions are tied on all criteria, the Judges will vote on the tied Eligible Submissions to decide which Maker is to be the Potential Winner.

7. PRIZE

One prize of US$100,000 (the “Prize”) will be awarded to the Winner.

8. VERIFICATION OF POTENTIAL WINNERS

A. Verification Requirement: THE AWARD OF A PRIZE TO A POTENTIAL WINNER IS SUBJECT TO VERIFICATION OF THE IDENTITY, ELIGIBILITY AND ROLE OF THE POTENTIAL WINNER IN THE CREATION OF THE SUBMISSION AND SATISFACTION OF ALL POSTER’S COMPLIANCE REQUIREMENTS. The final decision to designate a Winner shall be made by the Poster.

B. Required Forms: The Potential Winner will be notified using the email address associated with the Devpost account used to enter the Submission (the submitter is the “Representative” in the case of a Team or Organization). The Potential Winner (including its Representative and all participating members in the case of a Team or Organization) will be required to sign and return and/or provide to the Poster or Administrator affidavit(s) of eligibility (or similar verification documents), liability/publicity release(s), any applicable tax forms, bank account details, and any additional documents required by the Poster for the purposes of establishing compliance with these Official Rules or for Poster’s compliance purposes (“Required Forms”).

Deadline for Returning Required Forms: The Potential Winner (or its Representative and all participating members in the case of a Team or Organization) must return all Required Forms within ten (10) New York business days of request by the Poster or Administrator.

C. Disqualification: The Poster and/or Administrator may in its discretion disqualify a Potential Winner if:

(i) the notification regarding the Required Forms is returned undeliverable or the Potential Winner (or its Representative or any participating member in the case of a Team or Organization) does not respond to no fewer than three emails or fails to sign and return any of the Required Forms by the deadline listed above, or responds and rejects the Prize;

(ii) the Prize or Prize notification is returned as undeliverable; or

(iii) the Submission or the Potential Winner (or any participating member in the case of a Team or Organization) is disqualified for any other reason.

In the event of disqualification of a Potential Winner, the Poster may select an alternate Potential Winner according to which Submission was the next highest scoring.

D. DECLARATION OF WINNER

In the event a Potential Winner (and its Representative and each participating member in the case of a Team or Organization) (i) returns all Signed Forms in form and substance satisfactory to the Poster (in its discretion) in accordance with section 8.B and (ii) remains an Eligible Participant, the Poster may declare them the “Winner”.

9. PRIZE DISTRIBUTION

A. Substitutions & Changes: The Poster may, at its discretion, award an alternative Prize, provided it has equivalent or greater value to the Prize as defined in section 7. The Poster will not award a Prize if there are no Submissions entered in the Challenge by Eligible Participants.

B. Prize Delivery: The Prize will be payable to the Winner (or to its Representative in the case of a Team). It will be the responsibility of the Winner’s Representative to allocate the Prize among their Team’s participating members, as the Representative deems appropriate. A monetary Prize will be wired to the Winner (or to its Representative in the case of a Team) only after receipt of the Required Forms.

Failure to provide correct information on the Required Forms, or other correct information required for the delivery of the Prize, may result in delayed Prize delivery, disqualification of the Maker, or forfeiture of the Prize. If a Winner is disqualified, the Poster may select an alternate Potential Winner in accordance with these Official Rules.

C. Prize Delivery Timeframe: Within 60 days of the Poster or Administrator’s receipt of declaring the Winner.

D. Fees & Taxes: Winners (and in the case of Team or Organization, all participating members) are responsible for any fees associated with receiving or using a Prize, including but not limited to, wiring fees. Winners (and in the case of Team or Organization, all participating members) are responsible for reporting and paying all applicable taxes in their jurisdiction of residence (federal, state/provincial/territorial and local). Winners may be required to provide certain information to facilitate receipt of the award, including completing and submitting any tax or other forms necessary for compliance with applicable withholding and reporting requirements. United States residents are required to provide a completed form W-9 and residents of other countries are required to provide a completed W-8BEN form. Winners are also responsible for complying with foreign exchange and banking regulations in their respective jurisdictions and reporting the receipt of the Prize to relevant government departments/agencies, if necessary. THE POSTER AND/OR ADMINISTRATOR RESERVE THE RIGHT TO WITHHOLD A PORTION OF THE PRIZE TO COMPLY WITH THE TAX LAWS OF ANY RELEVANT JURISDICTION.

10. ENTRY CONDITIONS AND RELEASE

A. Each Maker (and, where they are Representatives, each of their Team’s or Organization’s participating members) agrees to the following:

(i) The relationship between the Maker, and the Poster and Administrator, is not a confidential, fiduciary, or other special relationship.

(ii) The Maker will be bound by and comply with these Official Rules and the decisions of the Poster and/or the Judges, which are binding and final in all matters relating to the Challenge.

(iii) The Maker releases, indemnifies, defends and holds harmless the Poster, Administrator, Promotion Entities, and their respective parent, subsidiary, and affiliated companies, and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Challenge, and all of their respective past and present officers, directors, employees, agents and representatives (hereafter the “Released Parties”) from and against any and all claims, expenses, and liabilities (including reasonable attorneys’ fees), including but not limited to negligence and damages of any kind to persons and property, defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to the Maker’s entry, creation of a Submission or entry of a Submission, participation in the Challenge, acceptance or use or misuse of a Prize (including any travel or activity related thereto) and/or the broadcast, transmission, performance, exploitation or use of the Submission as authorized or licensed by these Official Rules.

B. Without limiting the foregoing, the Released Parties shall have no liability in connection with:

(i) any incorrect or inaccurate information, whether caused by the Poster or Administrator’s electronic or printing error, or by any of the equipment or programming associated with or utilized in the Challenge;

(ii) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines, internet connectivity or electronic transmission errors, or network hardware or software or failure of the Challenge Website;

(iii) unauthorized human intervention in any part of the submission process or the Challenge;

(iv) technical or human error which may occur in the administration of the Challenge or the processing of Submissions; or

(v) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from the Maker’s participation in the Challenge or receipt or use or misuse of any Prize.

The Released Parties are not responsible for incomplete, late, misdirected, damaged, lost, illegible, or incomprehensible Submissions or for address or email address changes of the Maker. Proof of sending or submitting will not be deemed to be proof of receipt by the Poster or Administrator.

If for any reason any Maker’s Submission is determined to have not been received or been erroneously deleted, lost, or otherwise destroyed or corrupted, the Maker’s sole remedy is to request the opportunity to resubmit its Submission. Such request must be made promptly after the Maker knows or should have known there was a problem, and will be determined at the sole discretion of the Poster. In the event that a Winner has already the been determined by the time any error is corrected or a Submission resubmitted, neither the Poster nor the Administrator shall be required to reconsider that determination and the Maker shall have no remedy against the Poster or the Administrator.

11. PUBLICITY

A. Consent: By participating in the Challenge, each Maker consents to the use of personal information about them by the Poster, Administrator, and third parties acting on their behalf. Such personal information includes, but is not limited to, the Maker’s name, likeness, photograph, voice, opinions, comments and hometown and country of residence. It may be used in any existing or newly created media, worldwide without further payment or consideration or right of review, unless prohibited by law. Authorized use includes advertising and promotional purposes.

The duration of each Maker’s consent is for a period of three years following the conclusion of the Challenge. This consent applies, as applicable, to all members of a Maker’s Team or Organization that participated in the Challenge, and each Maker that is a Representative confirms it has obtained agreement to such consent from each participating member of its Team or Organization.

B. Announcements: Any Maker that has been informed by the Poster or the Administrator that it is the Potential Winner or the Winner (i) shall keep this confidential and shall not disclose this to any third party or make any public announcement to this effect until the Poster has publicly announced the Winner and (ii) shall cooperate with and fulfil the reasonable requirements of the Poster and the Administrator with respect to any announcements or publicity regarding the Challenge, including as required by any relevant Required Form. Failure to comply with this section 11.B may result in disqualification of the Maker and forfeiture of any Prize, at Poster’s discretion.

12. GENERAL CONDITIONS

A. Poster and Administrator reserve the right, in their sole discretion, to cancel, suspend and/or modify the Challenge, or any part of it, in the event of a technical failure, fraud, or any other factor or event that was not anticipated or is not within their reasonable control.

B. Poster and Administrator reserve the right in their sole discretion to disqualify any Maker it finds to be actually, or presenting the appearance of, tampering with the entry process or the operation of the Challenge or to be acting in violation of these Official Rules or the Devpost Terms of Service or in a manner that is inappropriate, unsportsmanlike, not in the best interests of this Challenge, or a violation of any applicable law or regulation.

C. Any attempt by any person to undermine the proper conduct of the Challenge may be a violation of criminal and civil law. Should Poster or Administrator suspect that such an attempt has been made or is threatened, they reserve the right to take appropriate action including, but not limited to, requiring a Maker to cooperate with an investigation and referral to criminal and civil law enforcement authorities.

D. If there is any discrepancy or inconsistency between the Official Rules and statements contained in any Challenge materials, whether made available by the Poster, the Administrator or any other person, including but not limited to the Challenge Submission form, Challenge Website, advertising (including but not limited to television, print, radio or online ads), the Official Rules shall prevail.

E. The Official Rules are subject to change at any time, including regarding the rights or obligations of Makers, the Poster and the Administrator. The Poster or Administrator will post any amended Official Rules on the Challenge Website. To the fullest extent permitted by law, any amendment will become effective at the time specified in the posting of the amended Official Rules or, if no time is specified, the time of posting.

F. If at any time prior to the deadline, a Maker or prospective Maker believes that any Official Rule is or may be unclear or ambiguous, they must submit a written request for clarification. The Poster and/or the Administrator may, but are under no obligation to, provide such clarification as they see fit and without liability. Any such clarification may be made public by the Poster and/or the Administrator.

G. The Poster or Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Should any provision of these Official Rules be or become illegal or unenforceable in any jurisdiction whose laws or regulations may apply to a Maker, such illegality or unenforceability shall leave the remainder of these Official Rules, including the Rule affected, to the fullest extent permitted by law, unaffected and valid. The illegal or unenforceable provision shall be replaced by a valid and enforceable provision that comes closest and best reflects the Poster’s intention in a legal and enforceable manner with respect to the invalid or unenforceable provision.

H. Excluding Submissions, all intellectual property related to this Challenge, including but not limited to copyrighted material, trademarks, trade-names, logos, designs, promotional materials, web pages, source codes, drawings, illustrations, slogans and representations are owned or used under license by the Poster and/or Administrator and shall remain their exclusive property. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owners is strictly prohibited. Any use in a Submission of Poster or Administrator intellectual property shall be solely to the extent provided for in these Official Rules.

13. LIMITATIONS OF LIABILITY

By entering, all Makers (including, in the case of a Team or Organization, all participating members) agree to be bound by the Official Rules and hereby release the Released Parties from any and all liability in connection with a Prize or any Maker’s participation in the Challenge. Provided, however, that any liability limitation regarding gross negligence or intentional acts, or events of death or body injury shall not be applicable in jurisdictions where the Released Parties may not under applicable law limit such liability. Provided further that if applicable law prohibits limiting liability to this extent, then the Released Parties’ liability shall be limited to the minimum amount that applicable law imposes.

14. DISPUTES

A. Except where prohibited by law, as a condition of participating in this Challenge, Maker agrees that:

(i) any and all disputes and claims must be notified to the Poster and the Administrator within fifteen (15) days of a Winner being declared or be forever barred.

(ii) any and all disputes or claims arising out of or connected with this Challenge, or any Prize awarded, shall be resolved individually, without resort to any form of class action lawsuit, and exclusively by the courts of England. The foregoing submission to jurisdiction does not exclude any additional protection afforded specifically to consumers by mandatory provisions of the law of their place of residence.

B. Unless the following limitation or exclusion is prohibited by applicable law, under no circumstances will a Maker be permitted to obtain awards for, and each Maker hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than contestant’s actual out-of-pocket expenses (i.e., costs associated with entering this Challenge), and Maker further waives all rights to have damages multiplied or increased.

C. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Maker and Poster in connection with this Challenge, shall be governed by, and construed in accordance with, English law.

D. Each Maker acknowledges that the courts of England may not be located in the Maker’s place of residence or domicile, and English law may be different from the law that applies in the Maker’s place of residence or domicile.

15. ADDITIONAL TERMS THAT ARE PART OF THE OFFICIAL RULES

Please review the Devpost Terms of Service at https://info.devpost.com/challenge_terms for additional rules that apply to participation in the Challenge and more generally use of the Challenge Website. Makers must comply with such Terms of Service. Such Terms of Service are incorporated by reference into these Official Rules such that all representations, warranties and undertakings of the Maker in the Terms of Service are made by Makers in favour of the Poster. If there is a conflict between the Terms of Service and these Official Rules, the Official Rules shall control with respect to this Challenge only.

Participation in the Challenge constitutes Maker’s full and unconditional agreement to these Official Rules. By entering, a Maker agrees that all decisions related to the Challenge that are made pursuant to these Official Rules are final and binding, and that all such decisions are at the sole discretion of the Poster and/or Administrator as applicable.
